Terms of Service

1. Agreement

These Terms of Service ("Terms") form a binding agreement between you ("Customer") and VIETNAM DMS COMPANY LIMITED ("DMS Lab", "we", "us"), operator of DMS Labs AI, an AI inference API accessed via dmslab.ai. By creating an account, accessing the website, or calling the API you accept these Terms.

2. Service

DMS Labs AI provides OpenAI-compatible inference endpoints powered by Qwen-family models on NVIDIA Blackwell-class GPUs (primarily B200, with RTX 5090, RTX 6000 Pro, and GB300 in the fleet), a developer dashboard, billing tools, and related services. Available tiers are Lite, Pro, Max, and Enterprise. Features, quotas, model-to-GPU routing, and pricing are described on dmslab.ai and may evolve; we will give reasonable notice of material adverse changes.

3. Accounts

• You must provide accurate registration information and keep it current.
• You are responsible for all activity under your account and API keys.
• Accounts are issued to a single legal entity; sharing credentials is prohibited.
• You must be at least 18 and legally capable of entering this contract.

4. Fees, Billing, and Taxes

• Subscription tiers are billed on a weekly cycle in VND or USD per the pricing page. Usage overages are billed against prepaid credits.
• Credits and top-ups are processed via SePay and other authorized gateways. Amounts in foreign currency are converted using the published exchange rate at the time of purchase.
• Invoices include VAT and are issued under Vietnamese tax law. You are responsible for any additional taxes in your jurisdiction.
• New accounts may receive a 5-hour Pro trial, subject to fair-use limits and without payment details. The trial is single-use per entity.

5. Customer Data

You retain ownership of inputs ("Prompts") and outputs ("Completions"), collectively "Customer Data". You grant DMS Lab a limited, non-exclusive license to process Customer Data solely to deliver and improve the service. We do not use Customer Data to train foundation models without your explicit opt-in. Details are in the Privacy Policy.

6. Acceptable Use

Use of DMS Labs AI is subject to the Acceptable Use Policy. Separate API-specific rules (rate limits, concurrency, benchmark restrictions) are in the API Terms. Violations may result in suspension or termination without refund.

7. Service Levels

Enterprise tier includes a 99.99% monthly uptime SLA with dedicated Blackwell-class capacity (typically B200; alternative SKUs such as RTX 5090, RTX 6000 Pro, or GB300 may be provisioned where specified in the order form) and optional on-premise deployment. Lite, Pro, and Max tiers are provided on a commercially reasonable basis without a monetary SLA. Scheduled maintenance and force-majeure events are excluded from SLA calculations.

8. Warranties and Liability

The service is provided on an "as is" and "as available" basis. AI outputs may be inaccurate, biased, or unsuitable for regulated decisions; you are responsible for human review before reliance. To the maximum extent permitted by Vietnamese law, our aggregate liability arising out of or in connection with these Terms is limited to the fees paid by you to DMS Lab in the three (3) months preceding the event giving rise to the claim.

9. Suspension and Termination

Either party may terminate for material breach uncured within fourteen (14) days of written notice. We may suspend the service immediately for security incidents, non-payment, legal orders, or Acceptable Use violations. Upon termination, unused prepaid credits are handled per the Refund Policy.

10. Confidentiality and Publicity

Each party will protect the other's confidential information with reasonable care. Neither party may use the other's name, logo, or marks in publicity without prior written consent, except DMS Lab may list Customer as a user of the service in factual references.

11. Governing Law and Disputes

These Terms are governed by the laws of the Socialist Republic of Vietnam. Disputes will be resolved by the competent courts of Ho Chi Minh City. Nothing in this section limits any mandatory consumer-protection rights you may have under Vietnamese law.

12. Changes to These Terms

We may update these Terms. Material changes will be announced via email or dashboard notice at least fourteen (14) days in advance. Continued use after the effective date constitutes acceptance.
